Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Market Demand Group LLC doing business as Pairent ("Pairent," "we," "us," or "our") governing your access to and use of this website and any related websites, checkout pages, landing pages, advertisements, emails, customer support interactions, packaging inserts, digital content, products, and services offered by or on behalf of Pairent (collectively, the "Service").

By accessing, browsing, purchasing from, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately discontinue use of the Service.

Third-Party References and No Affiliation

Any references to third-party research studies, clinical trials, academic institutions, publications, journals, researchers, governmental agencies, healthcare professionals, laboratories, certifications, manufacturers, or other third parties are provided for informational purposes only unless expressly stated otherwise.

Such references do not necessarily constitute an endorsement, sponsorship, partnership, or affiliation.

Market Demand Group LLC and Pairent are not affiliated with a third party merely because that third party is referenced on our website, packaging, advertising, or other materials.

User Content and Testimonials

Testimonials, ratings, reviews, photographs, videos, comments, and other customer-submitted content represent the experiences or opinions of the individuals providing them and are not guarantees of similar results.

By voluntarily submitting content to Pairent, including reviews, photographs, videos, comments, or testimonials, you grant Market Demand Group LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, distribute, adapt, and otherwise use that content for lawful business and marketing purposes, subject to applicable law.

You represent that you have the rights necessary to submit such content and that your submission does not violate the rights of any third party.

Pairent reserves the right to limit quantities, reject transactions, or cancel orders where we reasonably believe products are being purchased for unauthorized resale or other improper purposes.

Orders and Pricing

All orders are subject to acceptance and availability.

Pairent reserves the right, to the extent permitted by law, to:

reject or cancel an order;
limit quantities;
correct pricing, product-description, or typographical errors;
discontinue products;
change prices or promotions; and
refuse service where reasonably necessary.

If an order is cancelled after payment has been collected, the applicable amount will be refunded in accordance with our payment processor's procedures and applicable law.

Prices, promotions, and product availability may change without notice.

Taxes, shipping charges, customs charges, and other applicable fees may be added at checkout where required.

Shipping and Delivery

Estimated shipping and delivery times are provided for convenience and are not guaranteed unless expressly stated otherwise.

Nothing in these Terms limits any rights or remedies that cannot legally be waived under applicable consumer-protection law.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

MARKET DEMAND GROUP LLC DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

Some jurisdictions do not permit certain warranty exclusions, so some of the foregoing exclusions may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKET DEMAND GROUP LLC, PAIRENT, AND THEIR MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR PRODUCTS.

TO THE EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MARKET DEMAND GROUP LLC ARISING FROM OR RELATING TO A CLAIM SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO PAIRENT IN CONNECTION WITH THE TRANSACTION GIVING RISE TO THE CLAIM; OR
ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Market Demand Group LLC and its members, managers, employees, contractors, agents, affiliates, and service providers from claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising from:

your misuse of the Service or products;
your violation of these Terms;
your violation of applicable law; or
your infringement of the rights of another person or entity.

Force Majeure

Market Demand Group LLC will not be responsible for failures or delays in performance resulting from events outside its reasonable control, including natural disasters, severe weather, pandemics, epidemics, labor disruptions, supply-chain interruptions, transportation delays, carrier delays, power failures, telecommunications outages, governmental actions, war, civil unrest, or similar events.

Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR PARTICIPATE IN A CLASS ACTION.

To the extent permitted by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms, the Service, a Pairent product, or a transaction with Pairent shall be resolved through final and binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable Consumer Arbitration Rules.

The arbitration will be governed by the Federal Arbitration Act.

Arbitration shall be conducted on an individual basis only.

Neither you nor Market Demand Group LLC may bring or participate in a class action, collective action, consolidated proceeding, or representative action to the extent such waiver is enforceable under applicable law.

You and Market Demand Group LLC each waive the right to a jury trial for disputes subject to arbitration.

Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice within thirty (30) days of your first purchase.

Your notice should include your full name, the product purchased, the email address associated with the purchase, and a clear statement that you wish to opt out of the arbitration agreement.

Statute of Limitations

To the extent permitted by applicable law, any claim or cause of action arising from or relating to the Service, products, or these Terms must be brought within one (1) year after the event giving rise to the claim.

If applicable law prohibits shortening the relevant limitations period, the legally required limitations period will apply instead.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles, except where federal law applies or where applicable consumer law requires otherwise.

Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Waiver

Failure by Market Demand Group LLC to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

Entire Agreement

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and Market Demand Group LLC regarding your use of the Service and supersede prior agreements relating to the same subject matter.
